These terms are written for the current product and private-beta posture. They cover account use, uploaded business data, AI-assisted mapping, billing, plan changes, disclaimers, and liability allocation.

Agreement and Scope

These Terms of Service govern your access to and use of the Extrakt website, application, import workflow, related APIs, and any associated services we make available. By using the service, you agree to these Terms and to the Privacy Policy.

If you use the service on behalf of a company, customer, or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and the organization you represent.

Accounts and Access

You must provide accurate registration information, keep your credentials secure, and promptly notify us if you believe your account has been compromised.

  • You are responsible for activity that occurs under your account.
  • You may sign in using email/password credentials or supported OAuth providers if offered by the service.
  • We may restrict or revoke access if we detect misuse, security risk, nonpayment, or violation of these Terms.

Acceptable Use

You may use the service only in compliance with applicable law and these Terms. You may not:

  • Upload or process data that you do not have the right to use, disclose, or instruct us to process.
  • Use the service to transmit malware, probe or disrupt systems, bypass security controls, or interfere with other users.
  • Attempt to reverse engineer, scrape, or gain unauthorized access to the service, its infrastructure, or related accounts.
  • Use the service for illegal, infringing, deceptive, abusive, or rights-violating activity.
  • Represent beta, preview, or coming-soon features as generally available commitments to your own customers.

Customer Data

As between you and us, you retain ownership of the files, row data, mapped content, and other business information you upload or generate through your use of the service.

You grant us a limited right to host, copy, transmit, transform, analyze, and otherwise process Customer Data only as necessary to operate, secure, support, and improve the service, to comply with law, and to enforce these Terms.

You are responsible for the legality, accuracy, quality, and rights-clearance of Customer Data, including obtaining any required notices, permissions, or consents before uploading data to the service. The service is an operational workflow, not a long-term archival storage system.

AI-assisted Features

Extrakt may use a third-party AI provider to assist with column mapping when deterministic matching is insufficient. AI-assisted output is probabilistic and may be incomplete, incorrect, or inconsistent.

  • AI-assisted mapping may use unresolved column names, available field names and types, and limited sample values.
  • You remain responsible for reviewing suggested mappings, row edits, and exports before using them in production or downstream systems.
  • AI feature access may be limited by plan, rate limits, budget controls, provider availability, or feature rollout status.

Billing, Trials, and Plan Changes

The current commercial model includes a 14-day Starter trial and Stripe-managed billing for paid plans that are enabled in the product. Some plans or features may be shown as coming soon and are not available until we actually enable them.

  • Paid subscriptions, if activated, are billed through Stripe.
  • Cancellations, downgrades, or scheduled changes generally take effect at the end of the current billing period unless we state otherwise.
  • If payment fails, a subscription ends, or a trial expires, parts of the service may become read-only or otherwise limited.
  • Fees are non-refundable except where required by law or where we expressly agree otherwise in writing.

You are responsible for applicable taxes, duties, or similar governmental charges except for taxes imposed on our net income.

Beta Features and Service Changes

The service may include private beta, preview, experimental, or not-yet-general-availability features. Those features may change, be interrupted, contain errors, or be removed without notice.

We may modify the service, its limits, its pricing, or these Terms from time to time. No uptime SLA, support commitment, security certification, or data processing agreement applies unless separately and expressly agreed in writing.

Intellectual Property and Feedback

We retain all rights, title, and interest in the service, including the website, application code, design, workflow logic, and related intellectual property, except for Customer Data and any third-party materials.

If you provide feedback, suggestions, or improvement ideas, you grant us the right to use them without restriction or compensation, and without creating a duty of confidentiality beyond what is otherwise agreed.

Disclaimers

To the maximum extent permitted by law, the service is provided on an as-is and as-available basis. We do not guarantee that the service will be uninterrupted, error-free, fully secure, or suitable for every workflow, compliance regime, or business purpose.

The service does not provide legal, regulatory, accounting, or professional advice. You should evaluate whether the service is appropriate for your own data, retention, and compliance requirements.

Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, or data arising out of or related to the service.

To the maximum extent permitted by law, our aggregate liability for claims arising out of or relating to the service will not exceed the amount you paid us for the service during the 12 months before the event giving rise to the claim.

Suspension and Termination

You may stop using the service at any time. We may suspend or terminate access immediately if we reasonably believe you have violated these Terms, created security or legal risk, failed to pay applicable fees, or used the service in a way that could harm us, our users, or third parties.

Upon termination, your right to use the service ends, but provisions that by their nature should survive will remain in effect, including provisions related to ownership, disclaimers, liability limits, payment obligations, and dispute handling.

Governing Law and Contact

These Terms are governed by the laws of France, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the service will be resolved in the competent courts of Paris, France, unless applicable law requires otherwise.
